{"id":148789,"date":"2025-03-11T09:07:38","date_gmt":"2025-03-11T09:07:38","guid":{"rendered":"https:\/\/aranzazu-abogados.com\/?p=148789"},"modified":"2026-10-01T11:45:13","modified_gmt":"2026-10-01T11:45:13","slug":"inheritance-of-shares-in-commercial-companies","status":"publish","type":"post","link":"https:\/\/aranzazu-abogados.com\/en\/inheritance-of-shares-in-commercial-companies\/","title":{"rendered":"Transfer by Inheritance of Shareholdings in Commercial Companies"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">These transfers may benefit from a 95% reduction in the<a href=\"https:\/\/www.boe.es\/buscar\/act.php?id=BOE-A-1987-28141\" target=\"_blank\" rel=\"noopener noreferrer nofollow\"> Inheritance and Gift Tax<\/a>, provided a series of requirements are met:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1. Activity requirements<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The company must carry on an economic activity, and this is the case for holding companies, or companies whose corporate purpose is the leasing of real estate, if they have employees.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The deceased\u2019s direct shareholding in the company must have been at least 50% when computed individually, or 20% at family group level.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The transferor must perform management functions and receive for them a remuneration equivalent to at least 50% of all their business, professional and employment income.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2. Requirements of the transfer<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The reduction will apply to the spouse, descendants or adopted children and, if there are none, to ascendants and collateral relatives up to the third degree.
